Effective as of June 25, 2019, Voxgrid Inc. and its subsidiaries (“We”, “Us” or “Our”) have updated terms that apply to the use of our Website (www.contaqt.com). The Terms of Use is a legal agreement between you (either as an individual or a company you represent) and Voxgrid Inc. Please read these Terms carefully. For the purposes of these Terms of Use, the term “Website” shall refer to contaqt.com as well as the other websites that link to the Terms of Use. If you do not agree to these Terms of Use, please do not use the Site.
1. Access
Using our website, you do not have ownership of any content rights on the Website. You may, however, download, view, or print any information provided by us on the Website only if you are utilizing the information for private use or for non-commercial use within your organization. If you happen to be a Voxgrid Inc. partner, you will obtain access to vital partnership information that may only be used for the purpose of supporting Contaqt’s platform. You may not use content from our Website unless you obtain written permission from us, unless you are permitted by law to collect the information on our Website. By using our Website, you agree that all agreements, notices, and disclosures as well as other communications satisfy legal regulations and requirements when provided to you in electronic writing. You choose to use the Website at your own risk, therefore it is your responsibility to ensure that you obey all legal laws and regulations, including legislation regarding the viewing of the Website’s content in certain territories of the world.
2. User Restrictions
While using the Website, you acknowledge and agree that Voxgrid Inc. prohibits users from (1) using the Website in a manner that introduces malicious or foreign software that could potentially be harmful, hateful, obscene, threatening, inaccurate, or damaging to Contaqt’s platform as well as the Website; (2) impersonating a person or entity, in other words, creating a false identity; (3) gaining unauthorized access to the Website or services as well as other user accounts, computer systems, or networks; (4) breaching any security or protection as well as uploading content that may contain corrupted files or viruses; (5) harassing, defaming, or abusing other rights of users on the Website; or (6) falsifying or deleting any copyright information from a file downloaded off the Website.

Voxgrid Inc. does not grant the user any documentation related to Contaqt or any intellectual property belonging to Voxgrid Inc. You have permission from Voxgrid Inc. to copy content on the Website for personal or non-commercial use, however, you do not have permission to remove any copyright or other proprietary notices on the materials you copy. Contaqt and its logo are trademarks and may not be used by non respective owners unless you obtain Voxgrid Inc.’s written permission to utilize Contaqt and its logo. The user also shall not present a false identity that possess any proprietary interest in Voxgrid Inc. or its services. Any products or services described on Contaqt’s Website are subject to intellectual property rights owned by Voxgrid Inc. You are not authorized to use any such intellectual property unless we state that you may obtain rights to such content.
4. User Content
The Contaqt Website may contain forms, interactive features, or opportunities for you to post and upload content for which you
own all the rights. By posting content on the Website, you grant us, our agents, and other employees within Voxgrid Inc. the right and permission for us to copy, publish, mody, or reproduce your content. If you do not wish to grant us this right and permission, you may notify us through a written form, withdraw your content from the Website, or leave the Website. Without the rights to use your content, Voxgrid Inc. cannot provide its services to you.
You are solely responsible for your use of the Website and the content you upload on the Website through interactive features. When you upload user-generated content, you are representing that you are an individual of at least 13 years or older. If you are under the age of 18, you are considered a minor and must obtain legal consent from a parent or guardian to use our Website. If you are under the age of 13, the content you upload on the Website will be immediately removed and your account will be terminated from the Voxgrid Inc. system.
You may not post or upload content that (1) includes statements that defame, harass, or threaten other users; (2) contains statements that are considered offensive content or hate speech; (3) advocates profanity and vulgarity; (4) contains sexually explicit content or obscene content; (5) threatens the safety and security of other users or the general public; (6) encourages crime or illegal actions; (7) exploits content that is copyrighted or trademarked; or (8) purposefully dismisses legal regulations and permissions stated in this Terms of Use. You will be solely responsible for any content you upload that does not obey the previously stated regulations or infringes copyrighted and trademarked material that is owned by Voxgrid Inc. If you violate the policies listed in the Terms of Use, your account and content will be permanently terminated.
If by chance you are not the person who uploaded content that violates our policies, you are responsible for reporting unauthorized access to your account to Voxgrid Inc. for necessary actions.
5. Social Networks
Our Contaqt Website and services may include features that operate with third party social media websites such as Facebook, LinkedIn, Twitter or others. When you are using these third party websites, your use is governed by these Terms of Use. You are solely responsible for your use of third party websites as well as your compliance with legal regulations.
6. Termination
Voxgrid Inc. may terminate or restrict any user’s account and access to the account without providing a prior warning. We may also restrict your access to our Website as well as our services in the event of any breach by you of our Terms of Use.
7. Modifications
We reserve the right to update and make changes to our Website and the Terms of Use at any time without notice. When we apply changes, we will update the date to which the document was last modified. You are responsible for regularly checking the Terms of Use in the case that they were updated. If the Policy Privacy is changed, we will notify you of the changes either through written communication or on the Website.
8. Export of Information
You may not download, copy, or export information that is in violation of the U.S. law regulations and policies. Some U.S. laws prohibit the transfer of data to certain territories. You as well as the organization for which you are a part of agree to comply with all export U.S. laws as well as federal, local, and other applicable laws. You may not access or use the Website if you are a foreign person or entity that has been denied by the U.S. government or are residing in a foreign country that is blocked to receive technological data from our Website.
9. Disputes
Any dispute regarding the Terms of Use or the Website will be resolved accordingly. You must provide a notice of the dispute in written form. Once the dispute is filed, the two parties will resolve the dispute within 30 days. After 30 days, the time may be extended depending on the state of negotiations or similar matters. Representatives of both parties may be present to resolve the dispute.
10. Indemnification
You agree to defend, indemnify, and hold harmless Voxgrid Inc. as well as its affiliates and their respective employees, including agents, directors, and officers from and against all applicable liabilities and claims that may arise out of your usage of the Website or may be related to the Website. Voxgrid Inc. reserves the right to acquire defense over any claim for which we are entitled to indemnification. In the case that we exercise our right, you are responsible for cooperating fully with us.

(A) NEITHER CONTAQT.COM NOR ITS EMPLOYEES OR SERVICE PROVIDERS MAKE ANY COMMITMENTS ABOUT THE WEBSITE. WE DO NOT PROMISE CERTAIN CONTENT WITHIN THE WEBSITE, FUNCTIONS ON THE WEBSITE, OR THE ACCURACY OF INFORMATION.

Voxgrid Inc. will also not be held liable for any loss of data, loss of revenues, loss of reputation, or any economic loss that may arise from access or connectivity issues on the Website. In no instance will Voxgrid Inc. and its affiliates be held liable for the content posted or transmitted from any user or person using the Website.
13. Copyright
To respect others’ intellectual property rights, we comply with legal copyright regulations and expect our users and customers to obey them as well. If you notice unauthorized access of your account or material that has been copied from our Website, please reach out to us and we will resolve the copyright infringement as soon as we can.
